A vineyard presented with several grape contracts may still depend heavily on one commercial relationship. The buyer of the property needs to understand who purchases the fruit, how much of the modeled receipts each relationship represents and when the commitments expire.

Counting documents is an incomplete way to assess that position. Separate contracts for several blocks, varieties or years can still concern the same purchaser or a coordinated set of counterparties.

Start with the receipts represented by each relationship

Suppose a hypothetical vineyard expects $200,000 of annual grape receipts. Three agreements with one buyer account for $160,000, while a fourth agreement with another buyer accounts for $40,000. There are four documents, but 80% of the modeled receipts depend on the first relationship.

Those figures do not establish an unacceptable risk level. They identify the concentration clearly so the purchaser can assess the actual agreements, counterparties and operating plan.

A strong current price does not remove renewal exposure

Sonoma County’s 2025 crop narrative identifies fruit left unharvested because of reduced demand. That is market context, not a finding about an individual contract. It is a useful reason to distinguish a current receipt calculation from the evidence supporting future sales.

A vineyard may perform well under an existing arrangement while facing a different commercial question when that arrangement ends. The purchaser should be able to identify where committed activity ends and a renewal assumption begins.

Place expirations on the ownership timetable

Several agreements expiring in the same season create a different transition from agreements extending across different periods. A five-year purchase model should not apply the first year’s terms to all five years without an explanation of the contractual basis.

If an agreement includes renewal or termination provisions, have the appropriate adviser establish their operation. Preserve any unresolved commercial negotiation as an assumption rather than presenting it as an executed commitment.

A replacement market requires more than a price assumption

If the purchaser models another buyer taking the fruit, identify the relevant route to market and timing. Acceptance requirements, varieties, quantities and delivery arrangements may differ from the historical program.

The sale of one crop through a particular channel does not establish that another counterparty will buy every future crop on identical terms. A useful alternative scenario explains both the assumed price and the assumed ability to sell the quantity.

Stress the missing relationship in a defined scenario

In the hypothetical example, removing the $160,000 relationship leaves $40,000 of modeled receipts before any replacement sales. That is an exposure measure, not a prediction that the buyer will disappear or that every affected expense would remain unchanged.

A more complete scenario would show which costs continue, which change and what additional expense a transition might involve. Keep the alternative assumptions explicit so the calculation explains the decision instead of producing a dramatic but unsupported loss figure.

Transfer and concentration are separate questions

A commercially attractive relationship still needs review in the context of the proposed sale. Establish the actual parties, interests being conveyed and provisions relevant to the ownership change.
